Platform Operator / 运营主体： Ronghe International / 嵘禾国际

These Terms of Service (“Terms”) govern your access to and use of the Tinplate Community website and services (the “Platform”), operated by Ronghe International (“we”, “us”, or “our”). By registering an account, accessing, or using the Platform, you (“you” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Platform immediately.
本服务条款（以下简称”条款”）规范您对由嵘禾国际（以下简称”我们”）运营的马口铁社区网站及服务（以下简称”本平台”）的访问与使用。注册账号、访问或使用本平台，即表示您（以下简称”用户”或”您”）同意受本条款约束。若您不同意本条款，请立即停止使用本平台。

1. Platform Nature and Scope of Services / 平台性质与服务范围

1.1 Information Exchange Platform Only / 纯信息交流平台

The Tinplate Community is an information exchange and industry matchmaking platform dedicated to the global tinplate ecosystem. The Platform facilitates the publishing, browsing, searching, filtering, and inquiry communication of tinplate-related supply and demand information.
马口铁社区是专注于全球马口铁生态圈的信息交流与行业对接平台，致力于为马口铁及相关产品提供供应、需求信息的发布、浏览、检索、筛选与询盘沟通服务。

1.2 No Transaction, Payment, or Escrow Services / 不涉及交易、支付与担保

THE PLATFORM DOES NOT PROVIDE ANY TRANSACTION, PAYMENT PROCESSING, ESCROW, FINANCIAL SETTLEMENT, OR DELIVERY LOGISTICS SERVICES. The Platform is not a party to any commercial contracts entered into between Platform Users. All negotiations, pricing, ordering, payment, delivery, and dispute resolution in connection with any supply, demand, procurement, or sale are conducted directly and exclusively between the involved Users themselves. Ronghe International bears no liability for the performance, breach, or outcome of any such commercial transactions.
本平台不提供任何交易撮合、支付结算、担保、资金托管或物流配送服务。 本平台不作为任何用户之间商业合同的当事方。所有与供应、采购、销售相关的议价、定价、下单、支付、交付及纠纷处理，均由相关用户自行直接协商和执行，嵘禾国际不对任何此类商业交易的履行、违约或结果承担任何责任。

1.3 Applicable Laws / 适用法律

These Terms and all use of the Platform shall be governed by the laws of [请填入平台运营主体注册地所在司法辖区，例如：the Republic of Singapore / 新加坡共和国]，without regard to its conflict of law principles. All users additionally agree to comply with all applicable laws of their own jurisdiction of residence and operation.
本条款及平台所有使用行为受 [请填入平台运营主体注册地所在司法辖区，例如：the Republic of Singapore / 新加坡共和国] 法律管辖（不适用其冲突法规则）。同时，所有用户同意遵守其自身所在地与经营地司法辖区的全部适用法律。

2. Legal Compliance Baseline / 法律遵守底线

The following principles form the non-negotiable baseline for all conduct on the Platform. Any violation may result in immediate content removal, account suspension, permanent account disablement, referral to relevant law enforcement authorities, and pursuit of all available legal remedies.
以下原则为本平台所有行为的不可协商法律底线。任何违反以下原则的行为，平台有权立即执行内容下架、账号停用、永久封禁，并有权将相关情况报送有关执法机关，同时依法追究全部可行的法律救济。

2.1 Prohibited Content / 禁止发布的违法违规内容

You shall NOT publish, transmit, or otherwise make available on or through the Platform any content that:
您不得通过本平台发布、传播或以其他形式提供包含以下任一情形的内容：

  1. Violates National Security and Public Order / 危害国家安全与公共秩序 Contents involving endangering national sovereignty, unity and territorial integrity; leaking state secrets; subverting state power; inciting ethnic hatred or ethnic discrimination; advocating terrorism, extremism, or religious extremism; distributing obscene, pornographic, violent, or gambling-related content; promoting pyramid schemes, fraud, or illegal fundraising.
    涉及危害国家主权、统一和领土完整；泄露国家秘密；颠覆国家政权；煽动民族仇恨、民族歧视；宣扬恐怖主义、极端主义、宗教极端主义；传播淫秽色情、暴力赌博内容；宣扬传销、诈骗、非法集资等内容。
  2. Infringes Intellectual Property Rights / 侵犯知识产权 Contents that infringe any patent, trademark, service mark, trade name, copyright, neighboring right, trade secret, or other intellectual property or proprietary right of any third party, including unauthorized reproduction of product photos, technical datasheets, or corporate brand assets belonging to another User or entity.
    侵犯任何第三方的专利权、商标权、服务标记权、商号权、著作权、邻接权、商业秘密或其他知识产权与合法权益的内容，包括未经授权复制其他用户或实体的产品图片、技术规格书、企业品牌资产等。
  3. Violates Import and Export Controls and Trade Compliance / 违反进出口管制与贸易合规 Publications or communications concerning products subject to export control, sanctions, customs restrictions, dual-use goods regulations, or other trade compliance requirements under the laws of any applicable jurisdiction must be accurate and the publishing User bears full responsibility for ensuring their own compliance with such requirements. Users shall not use the Platform to circumvent any applicable export control, economic sanctions, customs, or anti-dumping regulations.
    涉及适用司法辖区法律管制下的出口管制、制裁、海关限制、两用物资法规或其他贸易合规要求的产品发布或沟通，其内容必须真实准确，发布用户自行承担确保自身符合相关规定的全部责任。用户不得利用本平台规避任何适用的出口管制、经济制裁、海关监管或反倾销法规。
  4. Engages in False or Misleading Representations / 虚假或误导性陈述 Contents containing fabricated production capacity, falsified product certifications, forged test reports, misrepresented material specifications (gauge, width, temper, coating mass, steel grade, etc.), fictitious pricing, misrepresented company qualifications or certifications, or any other misleading information that could reasonably induce economic loss to a counterparty. Upon verification, violating content will be removed and the responsible account will face sanctions.
    包含虚构产能、伪造产品认证、变造检测报告、规格参数不实（厚度、宽度、调质度、涂镀量、钢种等）、虚假报价、企业资质造假，或其他足以诱使交易对方遭受经济损失的误导性信息。一经核实立即下架并对涉事账号处罚。
  5. Infringes Civil Rights and Personality Rights / 侵害他人民事与人格权益 Contents that slander, libel, defame, insult, harass, stalk, threaten, or violate the privacy, publicity rights, or personal dignity of another individual or entity, including unauthorized disclosure of another person’s personally identifiable information without lawful basis.
    对任何自然人或法人实施诽谤、污蔑、侮辱、骚扰、跟踪、威胁，或侵犯其隐私权、肖像权、人格尊严的内容，包括未经合法授权擅自披露他人个人可识别信息。
  6. Contains Malicious Code or Cyberattack Mechanisms / 含有恶意代码或网络攻击手段 Any content, file, or link that contains viruses, trojans, worms, ransomware, spyware, phishing payloads, SQL injection vectors, cross-site scripting payloads, or any other computer code designed to disrupt, damage, compromise, or gain unauthorized access to the Platform or any computer system.
    任何包含病毒、木马、蠕虫、勒索软件、间谍软件、钓鱼载荷、SQL 注入载荷、跨站脚本载荷或其他旨在破坏、损害、入侵或未经授权访问平台及任何计算机系统的内容、文件或链接。
  7. Jeopardizes Platform Operational Integrity / 破坏平台运营完整性 Using bots, scrapers, automated form submissions, bulk dummy account registrations, screen-swiping repetitive publishing, click fraud, referral spam, or any other means to interfere with the normal operation of the Platform, abuse Platform quotas, or artificially inflate rankings or metrics.
    使用机器人、爬虫、自动表单提交、批量马甲号注册、刷屏式重复发布、点击欺诈、垃圾外链引用等手段，干扰平台正常运行、滥用量分配额度、或人为操纵排名与统计指标。

2.2 Prohibited Conduct / 禁止实施的行为

In addition to the content prohibitions above, you may NOT engage in any of the following conduct:
除上述内容禁令外，您不得从事以下任一行为：

  1. Impersonation of Another Entity / 冒用他人名义 Impersonating any company, organization, industry association, or individual (including forging email sender addresses, falsifying company names in publishing, or misrepresenting one’s authority to bind a principal) in any Platform interaction.
    在平台任何交互中冒用任何公司、机构、行业协会或个人名义（包括伪造邮件发件人地址、发布时冒用公司名称、虚假陈述自己的委托授权）。
  2. Malicious Competitor Abuse / 恶意针对竞争对手的滥用行为 Using the Platform’s report, complaint, moderation, or contact mechanisms to file knowingly false reports against competing companies, submit abusive inquiries, or engage in any other form of unfair competition.
    利用平台的举报、投诉、审核或联系机制，对竞争企业发起明知不实的恶意举报、恶意骚扰询盘，或实施任何其他形式的不正当竞争行为。
  3. Reverse Engineering of the Platform / 对平台进行逆向工程 Decompiling, disassembling, reverse engineering, probing, testing, or otherwise attempting to discover the source code, database schema, API internals, security mechanisms, or unpublished proprietary logic of the Platform, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
    对本平台进行反编译、反汇编、逆向工程、探测、渗透测试，或以其他方式试图发现平台的源代码、数据库结构、API 内部机制、安全防护机制或未公开的专有业务逻辑（适用法律强制允许此等行为的情形除外）。
  4. Circumvention of Access Controls / 绕过访问控制 Attempting to access any Platform account, admin interface, moderation backend, audit log, database, or restricted API endpoint for which you do not have the proper authorization, or attempting to bypass any Platform role-based access control, permission check, nonce validation, or login verification mechanism.
    尝试访问您未获适当授权的任何平台账号、管理界面、审核后端、审计日志、数据库或受限 API 端点，或尝试绕过平台的角色访问控制、权限校验、随机数令牌验证或登录验证机制。
  5. Cross-Border Non-Compliance / 跨境不合规行为 Using the Platform to offer, solicit, or facilitate the offer of goods, services, or transactions in violation of any applicable import, export, customs, sanctions, anti-bribery (FCPA / UK Bribery Act / Chinese Anti-Unfair Competition Law etc.), or anti-money laundering (AML) laws and regulations in any jurisdiction relevant to your transaction.
    利用平台提供、邀约或促成任何违反交易所涉司法辖区的进出口管制、海关监管、制裁规定、反贿赂法规（美国 FCPA / 英国 Bribery Act / 中国《反不正当竞争法》等）或反洗钱（AML）法规的产品、服务或交易行为。

3. User Account Responsibilities / 用户账号责任

  1. Account Security / 账号安全：You are solely responsible for maintaining the confidentiality of your account credentials (username, password) and for all activities conducted under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

您独自对账号凭据（用户名、密码）的保密以及在您账号下发生的全部活动负责。一旦发现账号未经授权使用或其他安全漏洞，您同意立即通知我们。

  1. True and Accurate Information / 真实准确的资料：All registration and profile information you provide must be true, accurate, current, and complete. You agree to keep this information updated to maintain its accuracy. Knowingly providing false registration information is grounds for immediate account termination.

您在注册与个人资料页中提供的全部信息必须真实、准确、最新且完整。您同意持续更新上述信息以确保准确性。故意提供虚假注册信息将作为立即停用账号的依据。

  1. Approval Process / 审批流程：All new Publisher account registrations are subject to manual approval by TPP Manager administrators before full publishing capabilities are granted. Accounts may be rejected if submitted information cannot be independently verified; rejected accounts retain the right to appeal the rejection decision within 30 days of the rejection notification date.

所有新注册的发布者账号须经 TPP 管理员人工审批通过后，方可获得完整发布权限。提交信息无法独立核验时，管理员有权拒绝审批；被拒绝的账号自收到拒绝通知之日起 30 天内保留申诉权。

  1. No Account Assignment / 账号不可转让：You may not assign, sell, license, sublicense, or otherwise transfer your Platform account or any of its rights and obligations under these Terms to any third party without our prior written consent.

未经我们事先书面同意，您不得转让、出售、许可、再许可或以其他方式将您的平台账号及其在本条款下的权利义务转移给任何第三方。

4. Content Publishing and Moderation / 内容发布与审核机制

  1. You Retain Ownership of Your Content / 用户保留自有内容的所有权：You retain ownership of all copyright, trademark, and other proprietary rights in the supply, demand, and rich-text content you publish to the Platform. By publishing content, you grant Ronghe International a limited, worldwide, non-exclusive, royalty-free right and license to host, reproduce, display, distribute, and make such content searchable solely for the purpose of operating and promoting the Platform.

您对自己发布的供应、需求及富文本内容保留全部著作权、商标权及其他所有权。通过发布内容，您授予嵘禾国际一项在全球范围内、非排他、免版税的有限权利与许可，仅为运营和推广本平台之目的，对上述内容进行存储、复制、展示、分发及检索索引。

  1. Public Visibility Default / 默认公开可见：ALL Supply and Demand publications (both structured and non-structured) are public by default upon approval. The Platform does not operate differentiated semi-public or registered-users-only visibility tiers. Approved content is visible to all visitors without login requirement.

所有供应与需求发布（含结构化与非结构化两类）经审核通过后一律默认公开。 平台不再区分半公开/仅注册用户可见的分级可见机制。已通过审核的内容对所有访客开放，无需登录即可查看。

  1. Moderation Mechanisms / 审核机制：
    • Structured Tinplate Supply / Demand / 结构化马口铁供应与需求：Published directly upon submission, subject to ongoing post-publish monitoring and takedown review upon complaint; 结构化马口铁供需内容提交后直接发布，平台保留发布后的持续巡检权及投诉触发的下架复审权；
    • Non-Structured General Supply / Demand / 非结构化通用供应与需求：Submitted into a “pending review” status; no public visibility until approved by a TPP Manager; 非结构化通用供需内容提交后进入”待审核”状态，经 TPP 管理员审批通过后方可公开发布；
    • All Users acknowledge that TPP Managers reserve the absolute right to remove any published content, at any time and without prior notice, if it is reasonably suspected to violate these Terms or applicable law. 所有用户确认：若平台有合理理由怀疑任何发布内容违反本条款或适用法律，TPP 管理员保留随时不经事先通知即下架相关内容的绝对权利。
  2. “Structured = Force Delete and Replace” Publishing Model / 结构化发布”强制全量替换”机制：Each Publisher may maintain only one active structured publication per content category (Supply or Demand). When a new structured CSV import or manual structured publishing session is finalized, all prior structured content under the same content category for that Publisher is force-deleted and superseded by the new session. This prevents duplicate or stale listings from remaining visible.

每个发布者在每个内容分类（供应或需求）下，仅保留一份生效的结构化发布。当新的结构化 CSV 导入或手工结构化发布会话完成落库时，该发布者同分类下全部旧结构化内容将被强制删除，由新会话内容取代。此机制用于防止重复或过期信息持续展示。

5. Disclaimers of Warranties / 免责声明

THE PLATFORM AND ALL CONTENT, INFORMATION, MATERIALS, PRODUCTS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
本平台以及通过本平台提供给您的所有内容、信息、资料、产品及服务，均以「现状」和「可供使用」为基础提供，不附带任何形式的明示或默示保证，包括但不限于对适销性、特定用途适用性、所有权和非侵权性的默示保证。

RONGHE INTERNATIONAL DOES NOT WARRANT THAT (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS, (B) THE PLATFORM WILL OPERATE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION OBTAINED BY YOU THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS, OR (D) ANY ERRORS IN PLATFORM SOFTWARE OR DATA WILL BE CORRECTED.
嵘禾国际不保证：(A) 本平台符合您的需求；(B) 本平台运行不中断、及时、安全或无错；(C) 您通过本平台获取的任何产品、服务或信息的质量符合您的期望；或 (D) 平台软件或数据中的任何错误都会被修复。

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLATFORM, INCLUDING ANY RELIANCE ON THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY CONTENT, PUBLICATION, OR INQUIRY COMMUNICATION MADE AVAILABLE THROUGH THE PLATFORM, IS AT YOUR SOLE RISK AND RESPONSIBILITY. YOU ARE SOLELY RESPONSIBLE FOR CONDUCTING YOUR OWN INDEPENDENT DUE DILIGENCE, VERIFICATION, AND QUALITY ASSESSMENT BEFORE ENTERING INTO ANY COMMERCIAL TRANSACTION OR ARRANGEMENT WITH ANY OTHER PLATFORM USER.
您明确知悉并同意：您使用本平台（包括但不限于信赖平台上任何内容、发布信息或询盘沟通的准确性、完整性或适用性）所产生的风险与责任，均由您自行承担。在与任何其他平台用户达成任何商业交易或安排之前，您应独自进行独立尽调、验证与质量评估，此为您的唯一责任。

6. Limitation of Liability / 责任限制

IN NO EVENT SHALL RONGHE INTERNATIONAL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF RONGHE INTERNATIONAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
在任何情况下，嵘禾国际及其关联公司、高级管理人员、董事、雇员、代理人或代表，均不对因以下情形产生或相关的任何间接、附带、特殊、衍生、惩罚性或惩戒性损害承担责任，包括但不限于利润损失、商誉损失、使用权损失、数据损失或其他无形损失（即使嵘禾国际已被告知发生此类损害的可能性）：

  1. Your use of or inability to use the Platform; 您使用或无法使用本平台；
  2. The conduct, content, publications, statements, representations, actions, or omissions of any third-party User of the Platform, including without limitation any defamatory, offensive, illegal, fraudulent, misleading, or infringing conduct of another User; 任何第三方用户的行为、内容、发布、陈述、声明、作为或不作为，包括但不限于其他用户实施的诽谤、攻击性、违法、欺诈、误导或侵权行为；
  3. Any unauthorized access to or alteration of your transmissions or data; 对您的传输数据或存储数据进行的未授权访问或篡改；
  4. Any commercial transaction or arrangement entered into between you and any other User, including any and all losses, damages, costs, or expenses arising from pricing disputes, quality disputes, non-delivery, payment default, customs clearance failures, or import/export compliance violations related to such transaction; 您与任何其他用户之间达成的任何商业交易或安排，包括但不限于因该交易引发的定价争议、质量纠纷、未交货、支付违约、清关失败或进出口合规违规所导致的一切损失、损害、成本或费用；
  5. Any matters beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, government acts, fire, flood, pandemic, strikes, power outages, network infrastructure failures, or internet service provider failures. 任何超出我们合理控制范围的事项，包括但不限于不可抗力、战争、恐怖主义、暴乱、禁运、政府行为、火灾、水灾、大流行病、罢工、断电、网络基础设施故障或互联网服务提供商故障。

IN NO EVENT SHALL THE TOTAL, AGGREGATE LIABILITY OF RONGHE INTERNATIONAL TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, CAUSES OF ACTION, OR EXPENSES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES, IF ANY, ACTUALLY PAID BY YOU TO RONGHE INTERNATIONAL FOR ACCESS TO AND USE OF THE PLATFORM IN THE TWELVE (12) CALENDAR MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100.00).
在任何情形下，嵘禾国际就因本条款或您使用本平台所产生或相关的全部索赔、损害、损失、诉因或费用向您承担的累计总责任，以以下两项中较大者为上限：(A) 导致索赔的事件发生前十二 (12) 个公历月内您实际向嵘禾国际支付的平台使用与访问相关费用总额（如有）；或 (B) 壹佰美元整（USD 100.00）。

7. Indemnification / 赔偿条款

You agree to defend, indemnify, and hold harmless Ronghe International, its affiliates, officers, directors, employees, agents, licensors, service providers, and representatives from and against any and all claims, liabilities, damages, losses, costs, debts, judgments, and expenses (including reasonable attorneys’ fees and court costs) arising from or in connection with:
您同意，因以下情形产生或相关的任何及全部索赔、责任、损害、损失、成本、债务、判决与费用（含合理律师费与诉讼费），您将为嵘禾国际及其关联公司、高级管理人员、董事、雇员、代理人、许可方、服务提供商、代表提供抗辩、进行赔偿并使其不受损害：

  1. Any content you publish, submit, transmit, or otherwise make available on or through the Platform; 您通过本平台发布、提交、传播或以其他形式提供的任何内容；
  2. Your use or misuse of the Platform; 您对本平台的使用或滥用；
  3. Your violation of these Terms of Service; 您对本服务条款的违反；
  4. Your violation of any applicable law, regulation, or third-party right (including without limitation any intellectual property right, privacy right, contractual right, or statutory obligation); 您对任何适用法律法规或第三方权利的违反（包括但不限于任何知识产权、隐私权、合同权利或法定义务）；
  5. Any commercial transaction entered into between you and any other User in connection with content accessed through the Platform. 您基于本平台获取的内容而与任何其他用户之间达成的任何商业交易。

8. Termination / 服务终止

  1. Voluntary Termination by User / 用户主动终止：You may terminate your account at any time via the [Delete Account] function in your Publisher Dashboard profile or by submitting a deletion request to [email protected]. Account termination will trigger data reassignment of your published content per the Privacy Policy Section 3.5 to ensure Platform data integrity.

您可随时通过发布者工作台个人资料页的「删除账号」功能，或向 [email protected] 发送删除请求，终止您的账号。账号终止后，您发布的内容将按隐私政策第 3.5 条进行数据重新分配，以保障平台数据完整性。

  1. Termination for Breach by Platform / 平台因违约终止：If Ronghe International reasonably determines that you have materially breached these Terms (including without limitation any provision of Section 2 Legal Compliance Baseline, Section 3 Account Responsibilities, or Section 4 Content Rules), we may:
    若嵘禾国际合理判断您实质性违反本条款（包括但不限于第 2 节法律遵守底线、第 3 节账号责任或第 4 节内容发布规则的任何规定），我们有权：
    • Issue a written warning and require remedial action within a stated timeframe; 发出书面警告并要求在指定期限内整改；
    • Remove or take down the infringing content with or without prior notice; 不论事先通知与否，直接下架或删除违规内容；
    • Suspend your account and restrict your access to certain or all Platform functionalities pending investigation; 在调查期间暂时停用您的账号并限制您使用部分或全部平台功能；
    • Permanently disable your account and prohibit all future access to the Platform by you and related entities under your control. 永久封禁您的账号，并禁止您及您控制的关联实体未来以任何形式访问本平台。
  2. Survival of Terms / 条款的存续：Sections 1 (Platform Nature), 2 (Legal Baseline), 5 (Disclaimers), 6 (Limitation of Liability), 7 (Indemnification), 8.3 (Survival), and 9 (General) shall survive any termination of these Terms or your account.

本条款第 1 节（平台性质）、第 2 节（法律底线）、第 5 节（免责声明）、第 6 节（责任限制）、第 7 节（赔偿条款）、第 8.3 节（存续）及第 9 节（一般条款）在条款终止或账号注销后仍然有效。

9. General Provisions / 一般条款

  1. Entire Agreement / 完整协议：These Terms constitute the entire agreement between you and Ronghe International regarding the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written.

本条款构成您与嵘禾国际之间就本主题事项达成的完整协议，取代此前或同期任何口头或书面形式的沟通与提议。

  1. Severability / 可分割性：If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

若本条款中任何规定被认定为不可执行或无效，该规定应在适用法律允许的最大范围内被修改并解释为尽可能接近该规定的原始意图，其余条款继续完全有效。

  1. No Waiver / 不构成弃权：No failure or delay by Ronghe International in exercising any right, power, or privilege under these Terms shall operate as a waiver of such.

嵘禾国际未行使或迟延行使本条款下的任何权利、权力或特权，不构成对该权利的放弃。

  1. Assignment by Us / 我方转让：Ronghe International may assign, novate, transfer, or delegate any of our rights or obligations under these Terms to any affiliate or successor entity without prior notice to you in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

因合并、收购、重组或全部或实质全部资产出售，嵘禾国际可将本条款下的任何权利义务转让、更替、转移或委托给任何关联公司或承继实体，无需事先向您通知。

  1. Language / 语言版本：These Terms are published in a bilingual English-Chinese format. Both versions shall have equal legal force. In the event of any discrepancy between the English and Chinese versions, the version most consistent with the intent of the Parties, as determined by Ronghe International in good faith, shall prevail.

本条款以中英双语形式发布。两种语言版本具有同等法律效力。如中英文版本表述存在任何不一致，由嵘禾国际本着善意原则作出最符合双方意图的解释，并以该版本为准。
